Terms of Service

By accessing this website or engaging CyberDefenders for cybersecurity consulting services, you (“Client,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use this website or our services.


These Terms apply to all visitors, prospective clients, and clients located within the United States.




1. Services Offered

CyberDefenders provides professional cybersecurity consulting services, which may include, but are not limited to:

  • Cybersecurity risk assessments
  • Penetration testing and adversary simulation
  • Compliance and regulatory security advisory services
  • Incident response preparedness and support
  • Threat intelligence and security program advisory
    All services are provided remotely unless otherwise agreed in writing. The specific scope, deliverables, and fees for any engagement will be defined in a written proposal, Statement of Work (“SOW”), or similar agreement.

2. No Guarantee of Security

Client acknowledges and agrees that cybersecurity threats and risks cannot be fully eliminated. CyberDefenders does not guarantee that any system, network, application, or process will be free from vulnerabilities, attacks, or compromise.
CyberDefenders’ services are advisory, investigative, and consultative in nature and do not constitute a warranty or guarantee of security or regulatory compliance.


3. Regulated Industries Disclaimer

CyberDefenders may provide services to clients in regulated industries, including healthcare, education, and other compliance-sensitive sectors. Unless expressly stated in writing:

  • CyberDefenders does not act as a covered entity, business associate, or regulated service provider under HIPAA, FERPA, GLBA, or similar laws.
  • Services are provided to assist clients in meeting security obligations, not to certify compliance.
  • Clients remain solely responsible for their legal and regulatory compliance obligations.

4. Client Responsibilities

Client agrees to provide accurate, complete, and timely information; obtain all necessary authorizations for systems, networks, and data in scope; maintain appropriate backups of systems and data; and ensure testing activities are lawful and authorized.
CyberDefenders is not responsible for delays, inaccuracies, or issues arising from incomplete or incorrect client information.


5. Authorization to Test

Client represents and warrants that it has full legal authority to authorize CyberDefenders to perform testing, monitoring, or analysis on all systems, networks, and assets within scope. Client assumes all responsibility for ensuring such authorization is valid and lawful.
Unauthorized or illegal testing is strictly prohibited.


6. Confidentiality

Each party agrees to maintain the confidentiality of non-public, proprietary, or sensitive information disclosed during the course of services and to use such information solely for the purpose of the engagement. Confidentiality obligations survive termination of services, except where disclosure is required by law or court order.


7. Intellectual Property

Unless otherwise agreed in writing, CyberDefenders retains ownership of its methodologies, tools, frameworks, templates, and pre-existing intellectual property. Client owns engagement-specific deliverables created for the Client. No license or transfer of intellectual property is granted beyond the scope of the engagement.


8. Limitation of Liability

To the maximum extent permitted by applicable law, CyberDefenders’ total liability arising from or related to services shall not exceed the fees paid by Client for the specific services giving rise to the claim. CyberDefenders shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or business interruption.


9. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict-of-law principles. Any legal action arising under these Terms shall be brought in a state or federal court of competent jurisdiction located in Arizona, unless otherwise agreed in writing.
